Background & Purpose of the Job
Position reports to the Associate General Counsel Corporate and Transactions. First point-of-contact for the review and administration of standard and nonstandard contracts, and full responsibility for the handling of Non-Disclosure Agreements (NDAs) and a variety of other contracts. Screening and triage of incoming matters. Direct support of the Associate General Counsel on confidential transactional matters, including M&A and real estate. Has independent responsibility for all corporate secretarial aspects of entities incorporated in the US.
Who You Are & What You ll Do
Processing of in-coming contract requests. Independent analysis of NDAs and other agreements, communicating with clients and attorneys concerning potential risks and issues spotted, and drafting and negotiating terms. Screening and analyzing matters coming into the Associate General Counsel, interpreting requests, keeping the AGC informed of matters requiring personal handling, and directing other matters to appropriate parties for handling. Legal research of issues in anticipation of needs. Managing administration of all corporate legal entities incorporated in the US. Keeping minute books and drafting resolutions for capital contributions, dissolutions, officers and directors, etc. Management of online repository for entity data control. Researching corporate histories as needs arise. Coordination of legalization of documents in foreign consulates. Use of technology to facilitate sharing of information and efficiency of handling responsibilities. Facilitating transactions ranging from thousands of dollars to hundreds of millions of dollars.
